CST Brands Closes Senior-Note Exchange Offer

Retailer retains $550 million in outstanding principal

SAN ANTONIO -- CST Brands Inc. announced the closing of the offer to exchange any and all of its $550 million outstanding principal amount of 5.00% senior notes due 2023 for an equal amount of new 5.00% senior notes due 2023.

The terms of the exchange notes are identical in all material respects to those of the outstanding notes, except that the transfer restrictions, registration rights and additional interest provisions relating to the outstanding notes do not apply to the exchange notes.

The exchange offer expired at 5 p.m., Eastern time, on Dec. 11, 2013, and as of such time all of the outstanding notes, including those submitted pursuant to notices of guaranteed delivery, had been tendered for exchange.
