ANKENY, Iowa -- Acting on a recommendation of its Nominating & Corporate Governance Committee, the board of directors of Casey's General Stores Inc. in late June approved an amendment to its bylaws formally establishing the office of chairman of the board, it said in a U.S. Securities & Exchange Commission (SEC) filing. The board also approved the committee's recommendation that Robert J. Myers, president and chief executive officer, formally be designated to serve as chairman.
Also in late June, the board approved certain Corporate Governance Guidelines recommended by the committee, including the establishment of the position of lead director. The board approved the appointment of William C. Kimball to serve as the initial lead director, it said in the SEC filing.
