Monster Beverage to Buy Bang Energy

Asset purchase agreement with Vital Pharmaceuticals subject to bankruptcy court approval

Monster Beverage Corp. and Vital Pharmaceuticals Inc., together with certain of its debtor affiliates, have entered into an asset purchase agreement under which a subsidiary of Monster will acquire substantially all of Bang Energy’s assets, subject to satisfaction of certain terms and closing conditions, including obtaining bankruptcy court approval.

The deal also includes a beverage production facility located in Phoenix.

While Monster is “hopeful” that it will complete the transaction, there is no guarantee that it will receive Bankruptcy Court approval, it said. Bang Energy filed for Chapter 11 protections under the U.S. Bankruptcy Code in October 2022.

Monster Beverage emerged last week as the winning bidder to acquire Weston, Florida-based Vital Pharmaceuticals for $362 million, according to a court filing in U.S. District Bankruptcy Court for the Southern District of Florida. 

The transaction was subject to an investigation by the U.S. Federal Trade Commission. The FTC terminated its review of the deal on Friday, clearing the way for it to be completed later this month, reported BevNet.

Vital Pharmaceuticals Inc., doing business as Bang Energy and as VPX Sports, develops performance beverages, supplements and workout products. In addition to Bang Energy, the company’s products include Meltdown, Quash, Vooz and Redline.

Based in Corona, California, holding company Monster Beverage Corp.’s subsidiaries develop and market various types of energy drinks under multiple brands including Monster Energy, Monster Energy Ultra, Juice Monster Energy + Juice, Java Monster, Rehab Monster, Monster Hydro, Monster Energy Nitro, Reign Total Body Fuel, Reign Inferno, Reign Storm, NOS, Full Throttle, BPM, BU, Burn, Gladiator, Live+, Mother, Nalu, Play and Power Play, Relentless, Samurai, Ultra Energy, Predator and Fury.
